Terms of Service

Terms and conditions for using Narpix services.

Welcome to Narpix. By accessing or using our AI-powered image editing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

1. Acceptance of Terms

By creating an account or using Narpix, you accept these Terms and our Privacy Policy. If you do not agree, please do not use our Service.

2. Description of Service

Narpix provides AI-powered image editing tools including:

  • Photo to Art Conversion: Transform photos into artistic styles
  • AI Image Upscaler: Enhance image resolution up to 4K quality
  • Background Removal: Remove backgrounds with AI precision
  • Free Image Editing Tools: Basic editing features (crop, resize, compress, etc.)

We may modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

3.1 Eligibility

  • Minimum Age: You must be at least 13 years old to use Narpix
  • Minors (13-17): If you are under 18, you must have verifiable parental or legal guardian consent
  • Legal Capacity: You must have the legal capacity to enter into binding contracts in your jurisdiction
  • Business Accounts: If registering on behalf of a company, you represent that you have authority to bind that entity to these Terms

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and keep it updated.

4. Your Content and Intellectual Property

4.1 Ownership of Your Images

You retain all ownership rights to images you upload ("Your Content"). By uploading images to Narpix, you grant us a limited license to:

  • Process your images using our AI tools
  • Store images temporarily (automatically deleted within 24 hours for free users, 30 days for paid users)
  • Display processed results to you

We do NOT:

  • Claim ownership of your images
  • Use your images to train AI models
  • Share, sell, or distribute your images to third parties
  • Store images permanently (unless you explicitly save them to your account)

4.2 AI-Generated Content

Images processed or generated by our AI tools ("AI Output") are provided to you with the following rights:

  • Ownership: You own the AI Output generated from your uploaded images
  • Commercial Use: You may use AI Output for commercial purposes
  • Attribution: No attribution to Narpix is required (but appreciated)
  • Responsibility: You are solely responsible for ensuring AI Output does not infringe third-party rights

Note: While you own the AI Output, you acknowledge that similar or identical outputs may be generated for other users using similar inputs and AI models.

4.3 Prohibited Content

You may not upload, process, or generate content that:

  • Infringes intellectual property rights
  • Contains illegal material (child exploitation, violence, etc.)
  • Violates third-party rights or privacy
  • Contains malware or malicious code
  • Depicts illegal activities or promotes harm

Violation of this section may result in immediate account termination and legal action.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree NOT to:

Illegal Use:

  • Use the Service for any illegal purpose or in violation of any laws
  • Process images that depict illegal activities
  • Generate content for fraudulent, deceptive, or malicious purposes

Technical Abuse:

  • Attempt to reverse engineer, decompile, or extract our AI models or source code
  • Circumvent usage limits, payment systems, or security measures
  • Overload, attack, or interfere with Service infrastructure (DDoS, SQL injection, etc.)
  • Use automated tools (bots, scrapers) without explicit written permission
  • Probe, scan, or test vulnerabilities of our systems

Account Abuse:

  • Create fake, duplicate, or fraudulent accounts
  • Share account credentials or allow unauthorized access
  • Purchase accounts from or sell accounts to third parties
  • Impersonate others or misrepresent your affiliation

Commercial Abuse:

  • Resell, redistribute, or white-label our Service without written authorization
  • Use the Service to provide competing services
  • Scrape or harvest data from the Service

5.2 Enforcement

Violation of this Acceptable Use Policy may result in:

  • Immediate account suspension or termination
  • Deletion of processed content
  • Legal action and cooperation with law enforcement
  • Liability for damages caused by violations

6. Free and Paid Services

6.1 Free Tier

Free accounts include:

  • Limited processing credits per month
  • Standard resolution output
  • Basic features with usage limits

6.2 Paid Plans ("Pro")

Pro subscriptions offer:

  • Higher resolution output (up to 4K)
  • Increased processing credits
  • Batch processing
  • Priority processing speed
  • Early access to new features

6.3 Billing

  • Auto-Renewal: Subscriptions renew automatically unless cancelled before the renewal date
  • Refunds: Fees are generally non-refundable, except:
    • As required by applicable consumer protection laws
    • Within 14 days of initial purchase if you are an EU consumer (right of withdrawal)
    • At our sole discretion in cases of Service failure
  • Price Changes: We may change pricing with 30 days advance notice via email
  • Cancellation: Cancellations take effect at the end of the current billing period. You retain access to paid features until the subscription expires
  • Taxes: All fees are exclusive of applicable taxes (VAT, GST, etc.), which will be added as required by law

7. Service Limitations and Disclaimers

7.1 No Guarantees

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability or fitness for a particular purpose
  • Guarantees of uninterrupted or error-free service
  • Guarantees of specific AI output quality

7.2 AI Output Accuracy

While our AI models are highly advanced, we cannot guarantee:

  • Perfect background removal in all scenarios
  • Specific upscaling or artistic results
  • Absence of artifacts or errors in processed images

You are responsible for reviewing AI output before use.

7.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NARPIX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of data, profits, revenue, or business opportunities
  • Personal injury or property damage, unless caused by our negligence
  • Damages resulting from third-party actions or Force Majeure events
  • Total damages exceeding the greater of (a) fees paid in the past 12 months or (b) $100 USD

Important Exceptions: Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any liability that cannot be excluded under applicable law
  • EU consumer rights that cannot be waived by contract

If you are an EU consumer, these limitations apply only to the extent permitted by consumer protection regulations in your country.

8. Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on Narpix infringes your copyright, please contact us at:

  • Description of the copyrighted work
  • URL of the infringing content
  • Your contact information
  • Statement of good faith belief
  • Statement under penalty of perjury that information is accurate
  • Physical or electronic signature

9. Termination

9.1 Your Right to Terminate

You may delete your account at any time through account settings. Upon deletion:

  • Your account access will be revoked
  • Your images will be permanently deleted
  • Paid subscriptions will be cancelled (no prorated refunds)

9.2 Our Right to Terminate

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent activity or payment disputes
  • Upload prohibited, illegal, or infringing content
  • Abuse the Service or attempt to harm our systems
  • Fail to pay fees when due (for paid accounts)

Notice: Where reasonably possible, we will provide advance notice of termination via email and an opportunity to cure the violation, except in cases of:

  • Legal requirements (e.g., court orders)
  • Severe violations (illegal content, security threats)
  • Repeated violations after prior warnings

Effect of Termination: Upon termination:

  • Your access to the Service will be immediately revoked
  • Your data (including images) will be deleted within 30 days
  • Outstanding fees remain due and payable
  • Sections of these Terms that by nature should survive (liability, disputes, intellectual property) will continue to apply

10. Changes to Terms

We may update these Terms from time to time. Changes will be effective:

  • Immediately for new users
  • 30 days after notification for existing users (via email or Service notification)

Continued use after changes constitutes acceptance. If you disagree with changes, you must stop using the Service.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by and construed in accordance with applicable international laws and the laws of the jurisdiction where you reside, without regard to conflict of law principles. For users in the European Union, you benefit from mandatory consumer protection laws in your country of residence.

11.2 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at hello@narpix.com to attempt to resolve the dispute informally. We commit to responding to all dispute inquiries within 10 business days and working in good faith to reach a mutually acceptable resolution.

11.3 Jurisdiction

Subject to applicable mandatory consumer protection laws:

  • EU Users: Disputes may be brought in the courts of your country of residence or where Narpix operates
  • Other Users: Disputes shall be subject to the exclusive jurisdiction of competent courts in the location where the Service is provided

EU Users' Rights: If you are a consumer resident in the EU, you may also bring proceedings in the courts of the EU Member State where you reside. Nothing in these Terms affects your rights as a consumer to rely on mandatory provisions of local law.

12. General Provisions

12.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Narpix regarding your use of the Service, and supersede all prior agreements, understandings, and communications, whether oral or written.

12.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:

  • That provision shall be severed from these Terms
  • The remaining provisions shall remain in full force and effect
  • The invalid provision shall be replaced with a valid provision that most closely reflects the original intent

12.3 No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by our authorized representative. A waiver in one instance does not constitute a continuing waiver or waiver of other provisions.

12.4 Assignment

  • Your Rights: You may not transfer, assign, or delegate your rights or obligations under these Terms without our prior written consent. Any unauthorized assignment is void.
  • Our Rights: We may freely assign or transfer these Terms and our rights and obligations, including in connection with a merger, acquisition, restructuring, or sale of assets.
  • Effect of Assignment: These Terms shall bind and inure to the benefit of the parties and their permitted successors and assigns.

12.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including:

  • Acts of God (natural disasters, pandemics)
  • War, terrorism, civil unrest
  • Government actions or restrictions
  • Internet or telecommunications failures
  • Third-party service provider outages

12.6 Notices

  • To You: We may provide notices via email to your registered email address, by posting on the Service, or through in-app notifications. Notices sent by email are deemed delivered 24 hours after sending.
  • To Us: You may contact us at hello@narpix.com. Legal notices must be sent via email with confirmation of receipt.

12.7 Language

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.
